Terms and\r\nConditions of Sale
\r\n\r\n1. \r\nApplicability.
\r\n\r\n(a) \r\nIn these Terms and Conditions of Sale (“Terms”),\r\n\"Seller\" means Trinity International Industries, LLC or any affiliate,\r\nand \"Buyer\" means the person, firm, company or corporation by\r\nwhom the Order is given. “Order” means a written order or purchase order from\r\nBuyer that is accepted by Seller.
\r\n\r\n(b) \r\nSeller reserves the right to revise or otherwise\r\nmodify these Terms at any time with or without notice to Buyer. If revised or\r\nmodified, the revised Terms will be posted on Seller’s website and will\r\nthereafter be immediately effective for any Orders issued thereafter.
\r\n\r\n(c) \r\nThese Terms prevail over any of Buyer’s general\r\nterms and conditions of purchase regardless whether or when Buyer has submitted\r\nits purchase order or such terms. Fulfillment of Buyer’s Order does not\r\nconstitute acceptance of any of Buyer’s terms and conditions and does not serve\r\nto modify or amend these Terms.
\r\n\r\n2. \r\nDelivery.
\r\n\r\n(a) \r\nThe goods will be delivered within a reasonable\r\ntime after the receipt of an Order, subject to availability of finished Goods.\r\nSeller shall not be liable for any delays, loss or damage in transit.
\r\n\r\n(b) \r\nUnless otherwise agreed in writing by the\r\nparties, Seller shall deliver the Goods to Buyer’s location as specified in any\r\nOrder (the “Delivery Point”) using\r\nSeller’s standard methods for packaging and shipping such Goods. Buyer shall\r\ntake delivery of the Goods immediately upon delivery of the Goods to the\r\nDelivery Point. Buyer shall be responsible for all loading costs and provide\r\nequipment and labor reasonably suited for receipt of the Goods at the Delivery Point.
\r\n\r\n(c) \r\nSeller may, in its sole discretion, without\r\nliability or penalty, make partial shipments of Goods to Buyer. Each shipment\r\nwill constitute a separate sale, and Buyer shall pay for the units shipped\r\nwhether such shipment is in whole or partial\r\nfulfillment of the Order.
\r\n\r\n3. \r\nShipping Terms. Delivery shall be made\r\nFOB origin.
\r\n\r\n4. \r\nTitle and Risk of Loss. Title and risk of\r\nloss passes to Buyer upon delivery of the Goods to the shipper or carrier. As\r\ncollateral security for the payment of the purchase price of the Goods, Buyer\r\nhereby grants to Seller a lien on and security interest in and to all of the\r\nright, title and interest of Buyer in, to and under the Goods, wherever\r\nlocated, and whether now existing or\r\nhereafter arising or acquired from time to time, and in all accessions thereto\r\nand replacements or modifications thereof, as well as all proceeds (including\r\ninsurance proceeds) of the foregoing. The security interest granted under this\r\nprovision constitutes a purchase money security interest under the Indiana\r\nUniform Commercial Code.
\r\n\r\n5. \r\nInspection and Rejection of Nonconforming Goods.
\r\n\r\n(a) \r\nBuyer shall inspect the Goods immediately upon\r\nreceipt. Buyer will be deemed to have accepted the Goods unless it notifies\r\nSeller in writing of any Nonconforming Goods within 24 hours of receipt of the\r\nGoods at the Delivery Point and furnishes such written evidence, photographs or\r\nother documentation as required by Seller. “Nonconforming Goods” means only the following: (i) product shipped\r\nis different than identified in Buyer’s Order; or (ii) product’s label or\r\npackaging incorrectly identifies its contents.
\r\n\r\n(b) \r\nIf Buyer timely notifies Seller of any\r\nNonconforming Goods, Seller shall, in its sole discretion, (i) replace such\r\nNonconforming Goods with conforming Goods, or (ii) credit or refund the Price for such Nonconforming Goods, together\r\nwith any reasonable shipping and handling expenses incurred by Buyer in\r\nconnection therewith. Buyer shall ship, at its expense and risk of loss, the\r\nNonconforming Goods to Seller’s facility. If Seller exercises its option to replace\r\nNonconforming Goods, Seller shall, after receiving Buyer’s shipment of\r\nNonconforming Goods, ship to Buyer, at Buyer’s expense and risk of loss, the\r\nreplaced Goods to the Delivery Point.
\r\n\r\n(c) \r\nBuyer acknowledges and agrees that the remedies\r\nset forth in Section 5(b) are Buyer’s exclusive\r\nremedies for the delivery of Nonconforming Goods. Except as provided under\r\nSection 5(b), all sales of Goods to Buyer are made\r\non a one-way basis and Buyer has no\r\nright to return Goods purchased under any Order to Seller.
\r\n\r\n\r\n\r\n
6. \r\nTaxes. All Prices are exclusive of all\r\nsales, use and excise taxes, and any other similar taxes, duties and charges of\r\nany kind imposed by any governmental authority on any amounts payable by Buyer.\r\nBuyer shall be responsible for all such charges, costs and taxes; provided,\r\nthat, Buyer shall not be responsible for any taxes imposed on, or with respect\r\nto, Seller’s income, revenues, gross receipts, personnel or real or personal\r\nproperty or other assets
\r\n\r\n7. \r\nPayment Terms.
\r\n\r\n(a) \r\nBuyer shall pay interest on all late payments at\r\nthe lesser of the rate of 1.5% per month or the highest rate permissible under\r\napplicable law, calculated daily and compounded monthly. Buyer shall reimburse\r\nSeller for all costs incurred in collecting any late payments, including,\r\nwithout limitation, attorneys’ fees. In addition to all other remedies\r\navailable under these Terms or at law (which Seller does not waive by the\r\nexercise of any rights hereunder), Seller shall be entitled to suspend the\r\ndelivery of any Goods if Buyer fails to pay any amounts when due hereunder and\r\nsuch failure continues for three (3) days following written notice thereof.
\r\n\r\n(b) \r\nBuyer shall not withhold payment of any amounts due and payable by reason of any\r\nset-off of any claim or dispute with Seller, whether relating to Seller’s\r\nbreach, bankruptcy or otherwise.
\r\n\r\n\r\n\r\n
9. \r\nLimitation of Liability.
\r\n\r\n(b) \r\nIN NO\r\nEVENT SHALL SELLER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER,\r\nTHE GOODS OR THESE TERMS, WHETHER ARISING OUT OF OR RELATED TO BREACH OF\r\nCONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE\r\nAMOUNTS PAID TO SELLER FOR THE GOODS SOLD HEREUNDER IN THE THREE (3) MONTHS\r\nPRIOR TO THE SUBJECT DISPUTE ARISING.
\r\n\r\n\r\n\r\n
10. \r\nCompliance with Law. Buyer shall comply\r\nwith all applicable laws, regulations and ordinances. Buyer shall maintain in effect\r\nall the licenses, permissions, authorizations, consents and permits that it\r\nneeds to carry out its obligations under these Terms.
\r\n\r\n11. \r\nTermination. In addition to any remedies\r\nthat may be provided under these Terms, Seller may terminate any Order with immediate\r\neffect upon written notice to Buyer, if Buyer: (a) fails to pay any amount when due under an Order and such\r\nfailure continues for three (3) days after Buyer’s receipt of written notice of\r\nnonpayment; (b) has not otherwise performed or complied with any of these Terms, in whole or in part; or (c) becomes insolvent, files a petition for\r\nbankruptcy or commences or has commenced against it proceedings relating to\r\nbankruptcy, receivership, reorganization or assignment for the benefit of creditors.
\r\n\r\n12. \r\nWaiver. No waiver by Seller of any of the\r\nprovisions of these Terms is effective unless explicitly set forth in writing\r\nand signed by Seller. No failure to exercise, or delay in exercising, any\r\nrights, remedy, power or privilege arising from these Terms operates or may be\r\nconstrued as a waiver thereof. No single or partial exercise of any right,\r\nremedy, power or privilege hereunder precludes any other or further exercise\r\nthereof or the exercise of any other right, remedy, power or privilege.
\r\n\r\n13. \r\nConfidential Information. All non-public,\r\nconfidential or proprietary information of Seller, including, but not limited\r\nto, the terms of these Terms and any Order, specifications, samples, patterns,\r\ndesigns, plans, drawings, documents, data, business operations, customer lists,\r\npricing, discounts or rebates, disclosed by Seller to Buyer, whether disclosed\r\norally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or\r\notherwise identified as “confidential,” in connection with these Terms is\r\nconfidential, solely for the use of performing these Terms and any Order and\r\nmay not be disclosed or copied unless authorized in advance by Seller in\r\nwriting. Upon Seller’s request, Buyer shall promptly return all documents and\r\nother materials received from Seller. Seller shall be entitled to injunctive\r\nrelief for any violation of this Section. This Section does not apply to\r\ninformation that is: (a) in the public\r\ndomain; (b) known to Buyer at the time of disclosure; or (c) rightfully\r\nobtained by Seller on a non-confidential basis from a third party.
\r\n\r\n14. \r\nForce Majeure. The Seller shall not be\r\nliable or responsible to Buyer, nor be deemed to have defaulted or breached these\r\nTerms or any Order, for any failure or delay in fulfilling or performing any\r\nterm of any Order or these Terms when and to the extent such failure or delay\r\nis caused by or results from acts or circumstances beyond the reasonable\r\ncontrol of Seller including, without limitation, acts of God, flood, fire,\r\nearthquake, explosion, governmental actions, war, invasion or hostilities\r\n(whether war is declared or not), terrorist threats or acts, riot, or other\r\ncivil unrest, national emergency, revolution, insurrection, epidemic,\r\nlock-outs, strikes or other labor disputes (whether or not relating to either\r\nparty’s workforce), or restraints or delays affecting carriers or inability or\r\ndelay in obtaining supplies of adequate or suitable materials, materials or\r\ntelecommunication breakdown or power outage.
\r\n\r\n15. \r\nAssignment. Buyer shall not assign any of\r\nits rights or delegate any of its obligations under these Terms or any Order without\r\nthe prior written consent of Seller. Any purported assignment or delegation in\r\nviolation of this Section is null and\r\nvoid. No assignment or delegation relieves Buyer of any of its obligations\r\nunder these Terms.
\r\n\r\n16. \r\nRelationship of the Parties. The relationship\r\nbetween the parties is that of independent contractors. Nothing contained in these\r\nTerms or an Order shall be construed as creating any agency, partnership, joint\r\nventure or other form of joint enterprise, employment or fiduciary relationship\r\nbetween the parties and neither party shall have authority to contract for or\r\nbind the other party in any manner whatsoever.
\r\n\r\n17. \r\nNo Third-Party Beneficiaries. These Terms\r\nare for the sole benefit of the parties hereto and their respective successors\r\nand permitted assigns and nothing herein, express or implied, is intended to or\r\nshall confer upon any other person or entity any legal or equitable right,\r\nbenefit or remedy of any nature whatsoever under or by reason of these Terms.
\r\n\r\n18. \r\nDispute Resolution. Buyer and Seller each\r\nagree to first contact each other with any disputes and provide a written\r\ndescription of the problem, all relevant documents/information and the proposed\r\nresolution. If after sixty 60 days the parties are unable to resolve any\r\ndispute raised under the previous provision, the parties may then pursue the\r\ndispute consistent with Sections 19\r\nand 20 below.
\r\n\r\n19. \r\nGoverning Law. All matters arising out of\r\nor relating to any Order or these Terms is governed by and construed in\r\naccordance with the internal laws of the State of California without giving\r\neffect to any choice or conflict of law provision or rule (whether of the State\r\nof California or any other\r\njurisdiction) that would cause the application of the laws of any jurisdiction\r\nother than those of the State of California.
\r\n\r\n20. \r\nVenue. Any legal suit, action or\r\nproceeding arising out of or relating to any Order or these Terms shall be\r\ninstituted in the state or federal courts located in the County of Los Angeles,\r\nand each party irrevocably submits to the exclusive jurisdiction of such courts\r\nin any such suit, action or proceeding.
\r\n\r\n21. \r\nNotices. All notices, request, consents,\r\nclaims, demands, waivers and other communications hereunder (each, a “Notice”)\r\nshall be in writing and addressed to the parties at the addresses set forth in\r\nthe Order or to such other address that may be designated by the receiving\r\nparty in writing. All Notices shall be delivered by personal delivery,\r\nnationally recognized overnight courier (with all fees pre-paid), facsimile\r\n(with confirmation of transmission) or certified or registered mail (in each\r\ncase, return receipt requested, postage prepaid).
\r\n\r\n22. \r\nSeverability. If any term or provision of\r\nthese Terms is invalid, illegal or unenforceable in any jurisdiction, such\r\ninvalidity, illegality or unenforceability shall not affect any other term or\r\nprovision of these Terms or invalidate or render unenforceable such term or\r\nprovision in any other jurisdiction.
\r\n\r\n23. \r\nSurvival. Provisions of these Terms which\r\nby their nature should apply beyond their terms will remain in force after any\r\ntermination or expiration of this Order including, but not limited to, the\r\nfollowing provisions: Disclaimer of Warranty, Limitation of Liability, Compliance\r\nwith Laws, Confidentiality, Governing Law, Venue and Survival.

These Terms\r\nare for the sole benefit of the parties hereto and their respective successors\r\nand permitted assigns and nothing herein, express or implied, is intended to or\r\nshall confer upon any other person or entity any legal or equitable right,\r\nbenefit or remedy of any nature whatsoever under or by reason of these Terms.
\r\n\r\n18. \r\nDispute Resolution. Buyer and Seller each\r\nagree to first contact each other with any disputes and provide a written\r\ndescription of the problem, all relevant documents/information and the proposed\r\nresolution. If after sixty 60 days the parties are unable to resolve any\r\ndispute raised under the previous provision, the parties may then pursue the\r\ndispute consistent with Sections 19\r\nand 20 below.
\r\n\r\n19. \r\nGoverning Law. All matters arising out of\r\nor relating to any Order or these Terms is governed by and construed in\r\naccordance with the internal laws of the State of California without giving\r\neffect to any choice or conflict of law provision or rule (whether of the State\r\nof California or any other\r\njurisdiction) that would cause the application of the laws of any jurisdiction\r\nother than those of the State of California.
\r\n\r\n20. \r\nVenue. Any legal suit, action or\r\nproceeding arising out of or relating to any Order or these Terms shall be\r\ninstituted in the state or federal courts located in the County of Los Angeles,\r\nand each party irrevocably submits to the exclusive jurisdiction of such courts\r\nin any such suit, action or proceeding.
\r\n\r\n21. \r\nNotices. All notices, request, consents,\r\nclaims, demands, waivers and other communications hereunder (each, a “Notice”)\r\nshall be in writing and addressed to the parties at the addresses set forth in\r\nthe Order or to such other address that may be designated by the receiving\r\nparty in writing. All Notices shall be delivered by personal delivery,\r\nnationally recognized overnight courier (with all fees pre-paid), facsimile\r\n(with confirmation of transmission) or certified or registered mail (in each\r\ncase, return receipt requested, postage prepaid).
\r\n\r\n22. \r\nSeverability. If any term or provision of\r\nthese Terms is invalid, illegal or unenforceable in any jurisdiction, such\r\ninvalidity, illegality or unenforceability shall not affect any other term or\r\nprovision of these Terms or invalidate or render unenforceable such term or\r\nprovision in any other jurisdiction.
\r\n\r\n23. \r\nSurvival. Provisions of these Terms which\r\nby their nature should apply beyond their terms will remain in force after any\r\ntermination or expiration of this Order including, but not limited to, the\r\nfollowing provisions: Disclaimer of Warranty, Limitation of Liability, Compliance\r\nwith Laws, Confidentiality, Governing Law, Venue and Survival.
